1. Acceptance of these terms

These Terms of Use (“Terms”) form a legal agreement between you and Axiosware (“we,” “our,” or “us”) governing your use of the HeartBalance mobile application and related services (the “Service”). By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using HeartBalance, you represent that you meet this requirement.

3. The Service

HeartBalance helps you measure your heart rate using your iPhone’s camera, track steps and activity, and view a personalized daily Health Score, stress and energy insights, and weekly trends. The Service can integrate with Apple Health and Apple Watch where you grant permission. Features may change, improve, or be discontinued over time.

You can sign in using Sign in with Apple or Google Sign-In. You are responsible for activity that occurs under your account and for keeping your sign-in method secure. You may delete your account at any time from within the app.

6. Subscriptions & billing

HeartBalance is free to download and includes free features, such as camera-based heart-rate measurement. Premium features, including detailed Insights and Trends, require an auto-renewing subscription. Subscriptions are offered as a monthly and an annual plan, each with a 7-day free trial for new subscribers. Current pricing is shown in the app and on the App Store before you confirm a purchase.

• Payment is charged to your Apple ID account upon confirmation of purchase.
• Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period.
• Your account is charged for renewal within 24 hours before the end of the current period, at the price for your selected plan.
• You can manage or cancel your subscription, and turn off auto-renew, in your Apple ID account settings in the App Store after purchase.
• You can restore a previous purchase from within the app (for example, on a new device).
• Current pricing is shown in the app and on the App Store. Any unused portion of a free trial, where offered, is forfeited when you purchase a subscription.

All purchases are final except as required by law. Refund requests are handled by Apple through the App Store, in accordance with Apple’s policies.

7. Acceptable use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law;
• Resell, sublicense, or commercially exploit the Service without our permission;
• Interfere with or disrupt the Service or attempt to access it through unauthorized means;
• Use the Service in any unlawful manner or for any unlawful purpose.

8. Intellectual property

The Service, including its software, design, and content, is owned by Axiosware and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes, subject to these Terms.

9. Third-party services

The Service relies on third-party providers, including Apple (HealthKit, App Store, StoreKit) and other service providers for authentication, cloud storage and sync, push notifications, and subscription management. Your use of those services is also subject to their respective terms and privacy policies.

10. Disclaimer of warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or accurate.

11. Limitation of liability

To the maximum extent permitted by law, Axiosware will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss arising from your use of, or inability to use, the Service, including any reliance on measurements or insights it provides.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service.

13. Changes to these terms

We may update these Terms from time to time. We will post the revised version here and update the “Last updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the United States and the state in which Axiosware is established, without regard to conflict-of-law principles.
